Standard Terms & Conditions (Please read carefully and scroll to the end)



  1. Purpose.  The purpose of these Standard Terms and Conditions (“Agreement”) is to establish an alliance between 86 Pillars LLC, an Illinois limited liability corporation, with the business address of 980 N. Michigan Avenue, Suite 1400, Chicago, Illinois (“86 Pillars”, “our”, “we” or  “us”) and _______________________________________ (the “Instructor”).  

  2. Term.  The term of this Agreement shall begin on the date executed and terminate five (5) days after either:
    i. the Instructor, in his or her sole discretion, has notified us in writing; or
    ii. we, in our sole discretion, have notified the Instructor in writing,
    in each case, that his or her membership has been terminated (together, the "Term").

  3. Clients.   The clients of 86 Pillars (each, a "Client" and, collectively, "Clients") include companies and organizations that engage 86 Pillars either for educational workshops or consulting projects to solve specific business issues, or to utilize us to hone and refine their overall educational initiatives, or for any other purposes.

  4. Workshop Descriptions and Biography.  Instructors are professors, practitioners, and other specialists who can provide customized executive education programs, keynote speeches, presentations, and advisory or consulting services (together, "Workshops"). We have created an online catalogue of Workshop descriptions by the instructors. You and 86 Pillars shall work together in good faith to create descriptions of Workshops to offer as part of this catalogue ("Workshop Descriptions"). You shall also submit to us biographical information, including curriculum vitae, and details regarding your teaching, consulting, or practice specialization (together, "Biographical Information"). Subject to any limitations contained in Section X, you hereby grant us a perpetual, irrevocable, royalty-free, worldwide, right and license to:
    i. reproduce, sell, distribute, publish, modify, display, edit, and otherwise use the Workshop Descriptions and your Biographical Information;
    ii. provide Workshop Descriptions to our Clients and prospective Clients; and
    iii. provide your Biographical Information to our Clients and prospective Clients as part of specific, targeted communications with our Clients and prospective Clients.

  5. Marketing.  It is our goal to introduce instructors to the broadest possible worldwide client audience. In addition to the inclusion of Workshop Descriptions on our website and on related websites, we may also recommend instructors directly to Clients and potential Clients.

    We also provide an optional enhanced service for those Instructors who wish to engage us to proactively assist with marketing and business development services in the US, China, and globally, to assist with PR and search engine optimization, and to provide an array of other services. In such instances, the Instructor and 86 Pillars shall mutually agree upon an appropriate fee ("Marketing Fee") to cover a portion of the expenses involved. As with any marketing we undertake, we cannot guarantee that advanced marketing efforts will result in Client engagements. A separate Agreement will be entered into if these is mutual interest for these enhanced services.

  6. Fees.  We do not charge the Instructor any fees in order to participate as an instructor in our program. Clients may be charged a consulting fee ("Consulting Fee") by 86 Pillars and an Honorarium by the Instructor, as described in Section VII. As described in V. above, 86 Pillars offers to its instructors enhanced marketing and business development services, available for an additional fee; before engaging in these enhanced services, 86 Pillars and the Instructor would enter into a separate agreement to govern such services.

  7. Client Engagements. 

  1. Negotiations.  Once a Client has requested the Instructor's services, we will transmit the request to the Instructor. The Instructor may provide us his or her fee structure ("Honorarium"), which we will convey to the Client. We will then provide to the Instructor the terms of the Client's engagement offer (not including our Consulting Fee), and communicate the Instructor's response to the offer to the Client. We may provide assistance or advice regarding the Honorarium charged based on the Client's profile and data from previous engagements. However, the Instructor retains absolute control over both whether or not to accept an engagement and the final Honorarium agreed upon.

  2. Ongoing Engagements.  Workshops that our instructors provide to Clients often result in Client requests for ongoing consulting/advisory engagements or ongoing legal services. In these instances (except for University Teaching as defined below), the Instructor shall notify us first, before accepting any such engagements.

  1. Ongoing Engagements (Not Involving Legal Services). We will manage ongoing engagements (except for those involving legal services or University Teaching as defined below) under a separate agreement. We may negotiate a different Consulting Fee with the Client for this purpose. We may provide assistance or advice regarding the Honorarium charged based on the Client's profile and data from previous engagements. However, as with the initial Client engagement, the Instructor retains absolute control over whether or not to accept an engagement and the final Honorarium agreed upon for the ongoing engagement. Additionally, we shall handle all invoices, billing, and collections of the Instructor's Honorarium for such ongoing engagement.

  2. Ongoing Engagements Involving Legal Services. We will not play a role in any ongoing engagement that involves legal services. However, if the Instructor takes on such an ongoing engagement, the Instructor agrees to enter into negotiations for a mutually acceptable agreement with 86 Pillars with regard to an advertising fee for ongoing inclusion of the Instructor's Biographical Information and Workshop Descriptions in our online catalogue ("Advertising Fee"). The Advertising Fee will be a reasonable fixed fee agreeable to all parties, in compliance with the American Bar Association Model Rules of Professional Conduct, the Illinois Rules of Professional Conduct and any other applicable professional rules and regulations, and any applicable laws.

  1. Cooperation and Non-Circumvention. 

  1. Cooperation. Until the Instructor declines an engagement with a Client, the Instructor shall participate in our negotiation with the Client in good faith.

  2. Non-Circumvention.
    Subject to Section VII(C)(3):
    i. The Instructor shall not (and shall not attempt to) bypass, compete with, avoid, or circumvent 86 Pillars in providing a Workshop to any individual or group of individuals at a Client (whether current or prospective, at the time), if such individual or group has been introduced to, has been contacted by, or has made contact with, the Instructor through us or through our marketing efforts, including through the use of our website (such individuals and groups, "Facilitated Contacts").
    ii. With regard to providing Workshops, the Instructor shall not attempt to deal directly or indirectly (except through 86 Pillars) with Facilitated Contacts; for the avoidance of doubt, this does not restrict the Instructor's providing (e.g., teaching) of agreed-upon Workshops themselves.

  3. Exceptions to Non-Circumvention.
    i. The restrictions described in Section VII(C)(2) shall not apply to any Workshops or other services provided by the Instructor as part of, or through, an accredited university, college, or school ("University Teaching").
    ii. The Instructor may provide 86 Pillars with a written list of entities and/or individuals that the Instructor wishes to exclude from the relationship contemplated by this Agreement ("Excluded Contacts"), and, following receipt of such list, 86 Pillars shall not facilitate engagements between the Instructor and any Excluded Contacts. The restrictions described in Section VII(C)(2) shall not apply to any Excluded Contact that becomes an Excluded Contact prior to becoming a Facilitated Contact.

  4. Client Negotiations. With regard to Client negotiations, we shall make every effort to represent both the Instructor's position and the Client's position faithfully, accurately, and to the best of our ability.

  1. Payment.  We will handle all invoices, billing, and collections of the Instructor's Honorarium. We will pay the Instructor only after (i) the Instructor, 86 Pillars, and the Client have signed a written agreement ("Engagement Agreement") and (ii) the engagement has been completed to the satisfaction of the Client or we are otherwise authorized or permitted to make such payment under the Engagement Agreement; and, then, we will pay the Instructor only to the extent of the amount of the Honorarium the Client has paid 86 Pillars.

  1. Representations and Warranties. 

  1. The Instructor hereby represents and warrants that (i) the Instructor has the legal authority to enter into this Agreement and (ii) the execution, delivery, and performance of this Agreement by the Instructor does not and shall not conflict with, breach, violate, or cause a default under any contract, agreement, instrument, order, judgment, or decree to which the Instructor is a party or by which he or she is bound.

  2. 86 Pillars hereby represents and warrants that (i) 86 Pillars has the legal authority to enter into this Agreement and (ii) the execution, delivery, and performance of this Agreement by 86 Pillars does not and shall not conflict with, breach, violate, or cause a default under any contract, agreement, instrument, order, judgment, or decree to which the 86 Pillars is a party or by which he or she is bound.

  3. The Instructor represents and warrants that the Instructor owns or controls rights to any Biographical Information and Workshop Descriptions provided by the Instructor to us sufficient for us to use such materials as contemplated in this Agreement and that such materials do not infringe the copyright, moral rights, other intellectual property rights, or other proprietary rights of any person and are not libelous or obscene.

  4. The Instructor represents and warrants that the Instructor shall be solely responsible for any fee or other compensation payable by the Instructor to any employer, employee, representative, or other sales agent of the Instructor.

  5. The Instructor represents and warrants that all representations made by the Instructor to a Client or prospective Client as part of negotiations with such Client will be true and accurate as of the time he or she makes each such representation.

  6. 86 Pillars represents and warrants that all representations made by the Instructor to a Client or prospective Client as part of negotiations with such Client will be true and accurate as of the time 86 Pillars (including its employees, contractors, and agents) makes each such representation.

  1. Indemnification. Each party ("Indemnifying Party") shall indemnify and hold harmless the other ("Indemnified Party") against any and all third-party claims or demands made against the Indemnified Party directly caused by any breach by the Indemnifying Party of any representation, warranty, or agreement made by the Indemnifying Party in connection with this Agreement. With regard to the indemnification obligations described in this Section IX, an Indemnifying Party: (i) shall only be responsible for indemnifying the Indemnified Party to the extent of the damages suffered by a third party as directly caused by the Indemnifying Party's breach of such representation, warranty, or agreement as awarded by a court or arbitrator of competent jurisdiction; (ii) shall only be responsible for indemnifying the Indemnified Party if the Indemnified Party provides (x) written notice of the third-party claim or demand within thirty (30) days of the Indemnified Party's receipt of such claim or demand and (y) its best efforts in cooperating with the Indemnifying Party to resolve such claim or demand (including allowing the Indemnifying Party to control any negotiation, settlement, arbitration, or litigation with such third party); and (iii) shall not be responsible for indemnifying the Indemnified Party for any damages suffered by a third party to the extent caused by the Indemnified Party, any of its affiliates or subsidiaries, or any of their respective employees, contractors, or agents.

  1. Marketing Materials.

  1. 86 Pillars may request that the Instructor create and/or assist in the creation of materials, including Workshop Descriptions, videos, blogs, tweets, and Biographical Information for the purposes of marketing Workshops and the skills and talents of the Instructor ("Marketing Materials").

  2. Subject to Section X(C), the Instructor, to the extent of his or her rights therein, hereby grants 86 Pillars a worldwide, irrevocable, royalty-free, transferable (in accordance with Section XVII) license to use, copy, distribute, and prepare derivative works based upon, the Marketing Materials solely to market the Instructor and/or Workshops in accordance with Section IV and the other terms of this Agreement ("License").

  3. The duration of the License shall be as follows:
    1. With respect to marketing Workshops and Biographical Information without reference to the Instructor and without use of Marketing Materials that reference, indicate any association with, or include any likeness of, the Instructor: the License shall be perpetual and shall survive the termination of this Agreement.
    2. With respect to all other marketing and uses contemplated by the License: the License shall expire when this Agreement terminates.

  4. For the avoidance of doubt, this Section X applies to Marketing Materials and does not apply to any of the materials used by the Instructor in teaching (or otherwise providing) any Workshops; all rights, title, and interests in any and all such materials are retained by the Instructor and are not granted to 86 Pillars by this Agreement.

  1. Confidentiality.  The Instructor acknowledges that, through his or her relationship with 86 Pillars, he or she may learn confidential, proprietary, and/or commercially sensitive information, including information pertaining to 86 Pillars' business practices. 86 Pillars takes both its and its instructors' confidential information seriously; we respect the confidential information of all our instructors, and we expect our instructors to do the same with our confidential information. Each party (each, a "Receiving Party") shall treat as confidential, shall keep secret, and shall not disclose to any third party, information that both (x) is learned during the negotiation or Term of this Agreement and (y) relates to the business or operations of the other (each, a "Disclosing Party"); provided, the foregoing shall not apply to any information that is or becomes: (i) publicly available other than as a result of a breach of this Section XI; (ii) known to the Receiving Party prior to learning such information from the Disclosing Party or through the relationship contemplated by this Agreement; or (iii) known to the Receiving Party from a source other than the Disclosing Party other than as a result of a breach of an obligation of confidentiality owed to the Disclosing Party. Furthermore, the Receiving Party's obligations of confidentiality under this Section XI shall not apply to the extent the Receiving Party is or becomes obligated to disclose such information under the terms of any law, order of court, or legal process.

  2. Termination.   
    In the event of the termination of this Agreement:
    A. The following rights, obligations shall survive the termination of this Agreement: (i) the non-circumvention restrictions as described in Sections VII(C)(2) and VII(C)(3); (ii) the License rights as described in Section X; (iii) the obligations of confidentiality as described in Section XI; (iv) Section IV; and Sections XII through and including XIX.
    B. Neither the Instructor nor 86 Pillars shall represent to a third party that one is associated with the other.
    C. The Instructor shall be entitled to receive any portion of his or her Honorarium that is accrued and payable under this Agreement but unpaid as of the date of such termination.

  3. Entire Agreement.This Agreement represents the entire understanding of the parties hereto with respect to the subject matter of this Agreement and supersedes any and all other and prior agreements and representations between the parties with respect to the subject matter of this Agreement. The parties hereby declare any and all such prior agreements, if any, null and void. The Instructor acknowledges, however, that the use of the website by the public and by the Instructor is also governed in other respects by the website terms and conditions ("Terms and Conditions") and by 86 Pillars' privacy policy ("Privacy Policy"), and, in the event of any conflict among these documents, this Agreement shall take precedence, followed by the terms of the Privacy Policy and next by the website Terms and Conditions. This Agreement may not be altered, changed, modified, waived, or discharged in whole or in part except by a writing signed by the Instructor and 86 Pillars.

  4. Governing Law.This Agreement shall be governed and construed in accordance with the laws of the State of Illinois. However, the Instructor and 86 Pillars shall make a concerted and good faith effort to settle any dispute between them in an amicable and mutually satisfactory manner without litigation.

  5. Independent Contractor.Nothing contained herein shall be construed as establishing an employer/employee, principal/agent, joint-venture, or partnership relationship between 86 Pillars and the Instructor. Neither party has the authority to bind the other.

  6. Force Majeure.Neither the Instructor nor 86 Pillars shall be liable or in breach of this Agreement for the cancellation of any Workshops, by reason of fire, strike, war, terrorism, insurrection, government restrictions, acts of God (including inclement weather), or other causes, in each case beyond such party's control. In the event of such cancellation, the Instructor and 86 Pillars shall act in good faith to reschedule any cancelled Workshops for the earliest possible convenient date for all parties involved.

  7. Assignment.Neither this Agreement nor any rights (including the License) or obligations hereunder, in whole or in part, shall be assignable, delegable, or otherwise transferable by either party without the prior written consent of the other party; provided, 86 Pillars may assign, delegate, and/or transfer this Agreement, along with all of its rights (including the License) and obligations hereunder, in connection with an acquisition of 86 Pillars (whether by merger, sale of substantially all its assets, sale of its stock, or otherwise). Any attempted assignment, delegation, or other transfer in violation of this Section XVII shall be void.

  8. No Third-Party Beneficiaries.This Agreement does not confer any rights or remedies on (or otherwise benefit) any party (including Clients) other than the Instructor and 86 Pillars.

  9. Construction.The headings of the several sections and subsections of this Agreement are inserted for convenience only and shall not in any way affect the meaning or construction of any provisions of this Agreement. As used in this Agreement, "including" means "including, without limitation," words denoting the singular include the plural and vice versa, and words denoting a gender include both genders.
